When to use it
Use when a lawyer is setting out what a board minute should record, including a conflict transaction. Do not use it as minutes of a meeting that has already happened, or as a filed return.
Used for these tasks
- Draft board-governance materials against the charity standards
- Draft a conflicts-of-interest register from the related-party papers
Each task page says how far AI may help with the task and what the lawyer must review.
How AI may be used
Yellow: the lawyer takes quorum, notice, and voting from the governing document and writes the minute from the meeting.
AI may
- Leave attendance, motions, and vote counts as blanks.
- List the two conflict records the IRS sample says minutes of the governing board and delegated committees shall contain.
- State that no opened federal source prescribes the form of ordinary minutes.
AI must not
- Do not invent attendees, a quorum, or a vote.
- Do not supply a state nonprofit-corporation act.
- Do not write a Form 990 narrative or a contemporaneous-documentation claim. No Form 990 instruction on minutes was opened.
- Do not present this checklist as the minutes of a named meeting.
The lawyer checks
- Insert quorum, notice, and voting rules from the organisation's governing document.
- Confirm any conflict entry against the disclosures actually made at the meeting.
- Do not treat the IRS sample as a minute statute. The instructions say the sample does not prescribe requirements.
- Keep the minute as the organisation's record. Do not file it as an application.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
