When to use it
Use to record an AGM of an association incorporated under the Associations Incorporation Act 2009 (NSW), particularly where officers are elected or a special resolution is put. It pairs with the notice of general meeting in this library. Check the association’s own constitution where it differs from the model constitution.
How AI may be used
AI may turn the secretary’s notes and the attendance record into draft minutes in this form; the secretary checks every attendance entry, vote and resolution against what happened before the presiding member signs.
AI may
- Turn the secretary’s notes, attendance list and ballot results into draft minutes in this form
- Check that each item in the notice of meeting is dealt with in the minutes, and that resolutions are recorded in the words of the notice
- List the follow-up lodgements and register updates with their due dates
AI must not
- Must not record attendance, nominations, votes or discussion that are not in the secretary’s notes or the ballot record
- Must not tidy the wording of a special resolution that was passed
- Must not use an AI meeting transcription tool unless members were told before the meeting and the committee approved it
The lawyer checks
- A quorum was present throughout, and the attendance count is right
- Each special resolution is recorded exactly as notified, with votes for and against showing at least three-quarters of votes cast
- Elections followed the constitution: valid nominations, a ballot where nominations exceeded vacancies, and casual vacancies recorded
- The minutes are signed by the presiding member of this meeting or of the next meeting
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
