When to use it
Use when the committee of an association incorporated under the Associations Incorporation Act 2009 (NSW) calls an AGM or a special general meeting. The notice periods and quorum come from the model constitution; if the association has its own constitution, use its rules where they differ.
How AI may be used
AI may fill the notice from the committee’s resolution and check the dates against the constitution; the lawyer or secretary settles any special resolution and confirms the notice period and quorum rules.
AI may
- Fill the date, venue, technology link and agenda items from the committee’s resolution calling the meeting
- Calculate the latest date for giving notice (14 or 21 days) and the AGM deadline from the financial year end, for a person to confirm
- Check that each item of business members asked to raise is on the agenda
AI must not
- Must not write or change the wording of a special resolution
- Must not assume the model constitution applies without checking the association’s registered constitution
- Must not send the notice to members
The lawyer checks
- The association’s registered constitution has been checked for notice period, method of giving notice, quorum, proxies and technology, and it governs where it differs from this form
- A special resolution is set out in full with a statement that it is intended to be passed as a special resolution, and notice is given at least 21 days before (s 39)
- The AGM is within 6 months after the end of the financial year, or an extension has been obtained (s 37(2))
- The financial statements (and, for a Tier 1 association, the auditor’s report) will be ready to submit to the AGM
