Where this comes from
The official form is published by nsw.gov.au; this page is a completion guide. Last checked on 2026-10-17.
When to use it
Use when advising a NSW incorporated association on adopting the model constitution, filling gaps in its own constitution, or amending its rules. For associations in other States, use that State's model rules and Act; this guide does not apply.
How AI may be used
AI may compare an association's constitution with the current model constitution and the Schedule 1 matters, and list gaps and non-model clauses. Deciding which clauses to keep and drafting the special resolution are lawyer tasks.
AI may
- Compare the association's constitution with each Schedule 1 matter and the current model, with clause references
- List clauses that depart from the model and any conflict with the last registered special resolution
- Draft a plain-language summary of proposed changes for members
AI must not
- Must not treat an older saved copy of the model as current
- Must not decide which non-model clauses the association should keep
- Must not lodge or describe a change as registered before Fair Trading registers it
The lawyer checks
- The current model constitution has been downloaded on the day of advice
- Every Schedule 1 matter is addressed or deliberately left to the model
- The special resolution and application follow the Act and Regulation
- Charity, DGR and funding agreement requirements are reflected
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
