When to use it
Use when both notifications may have been received and the team needs the statutory waiting-period rules. Do not use it to say that the parties may close.
Used for these tasks
Each task page says how far AI may help with the task and what the lawyer must review.
How AI may be used
Yellow: the lawyer counts the days from the facts and decides whether anyone may close.
AI may
- Record the start rule, the 30th day, the 15th day for a cash tender offer, and the early-termination sentence.
- Record the extension of not more than 30 days, or 10 days for a cash tender offer, including the alternative where the request is not fully complied with.
- Point back to the threshold list for whether the statute applies at all.
AI must not
- Do not state a date on which the parties may close.
- Do not draft a response to a request for additional information.
- Do not state a current civil penalty. Subsection (g)(1) prints $10,000 a day, and no adjusted figure was opened.
The lawyer checks
- Confirm the date the Commission and the Assistant Attorney General received the filings from the persons the statute names.
- Count any extension from the date the agency receives the response described in subsection (e)(2).
- Check whether early termination was granted and published, rather than assuming it.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
