When to use it

Use when competitor information has to be logged and walled off during a deal or a joint project. Do not use it as a cartel clearance or as a filing.

Used for these tasks

Each task page says how far AI may help with the task and what the lawyer must review.

How AI may be used

Yellow: the lawyer names the clean team and the permitted purpose before any information is shared.

AI may

  • Set blanks for members, the permitted purpose, and the log of what was received.
  • State that the information is not used to set the company's own prices or bids.
  • Require the lawyer's approval before a member is added.

AI must not

  • Do not decide that sharing the information complies with section 1.
  • Do not list categories of information that are always safe to exchange.
  • Do not write a joint defence or common interest agreement.

The lawyer checks

  • Name the people who may see the information, and why each person needs it.
  • Decide what is returned or destroyed at the end.
  • If the arrangement is with a competitor, screen it under the compliance policy before this protocol is signed.

Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
