When to use it

Use when a transaction may need a premerger notification and the team needs the facts for the threshold tests. Do not use it as the HSR form, as an affidavit, or as a decision that a filing is required.

Used for these tasks

Each task page says how far AI may help with the task and what the lawyer must review.

How AI may be used

Yellow: the lawyer applies the statute and the current FTC thresholds to the figures the parties supply.

AI may

  • Ask for the facts the statute uses: commerce, voting securities, assets, sales, and whether the deal is a tender offer.
  • Place the FTC's 2026 adjusted figures next to the statute's original figures, and say they took effect on 17 February 2026.
  • Tell the team to complete the current HSR form from the FTC's own instructions.

AI must not

  • Do not decide that a filing is required.
  • Do not prepare an affidavit, a sworn certification, or any part of the HSR form.
  • Do not state a filing fee. The fee page was not opened.
  • Do not invent form item numbers. The form instructions were not opened.

The lawyer checks

  • Recheck the FTC thresholds page. The figures adjust.
  • Read both filing sentences in § 18a(a), including the tender-offer sentence, before saying who files.
  • Use the parties' own sales and asset figures. Do not estimate them.
