When to use it
Use when a commercial security package needs a question list on attachment and on whether a financing statement must be filed. Do not use it as the financing statement or as a filing instruction for a named office.
Used for these tasks
- Draft the security package: general security, mortgages and share pledges
- Reconcile the security schedule to title and register searches
- Draft a PPSR registration and search summary
Each task page says how far AI may help with the task and what the lawyer must review.
How AI may be used
Yellow: the lawyer applies the enacted text of the governing state and decides what, if anything, is filed.
AI may
- List the collateral and ask the § 9-203(b) questions against the draft security agreement.
- Record that § 9-310(a) requires filing except where subsection (b) or § 9-312(b) says otherwise.
- Flag deposit accounts, electronic chattel paper, investment property and letter-of-credit rights for a control reading.
AI must not
- Do not complete, sign or file a financing statement.
- Do not state that filing is unnecessary. The exceptions in § 9-310(b) were not copied.
- Do not describe how control is taken under §§ 9-104, 9-105, 9-106 or 9-107.
- Do not say who is allowed to file. Section 9-509 was not read into this checklist.
The lawyer checks
- Apply the enacted Article 9 of [STATE], not only the uniform text on Cornell.
- Read §§ 9-203(c) through (i) before relying on subsection (b).
- Read § 9-310(b) and § 9-312(b) before treating any interest as perfected without filing.
- Read § 9-509 before any financing statement is authorised or filed.
