When to use it
Use for secured lending to an Australian company where the lender takes security over all of the grantor’s personal property. Land needs a separate mortgage. Consumer and individual grantors, and syndicated deals with a security trustee, need different documents.
How AI may be used
AI may adapt this reviewed base deed to the facility and check consistency. Enforcement, priority and PPSA provisions are settled by a finance lawyer.
AI may
- Conform defined terms and cross-references to the facility agreement
- Populate the schedule from the term sheet and asset list
- List differences between this deed and the lender’s or borrower’s mark-up
AI must not
- Must not change the PPSA contracting-out, enforcement or priority clauses without lawyer instruction
- Must not decide whether assets are excluded or circulating
- Must not process the grantor’s asset and financial information in an unapproved tool
The lawyer checks
- Secured Money definition and Events of Default align with the facility agreement
- Excluded property, permitted security interests and land mortgages are dealt with
- Execution as a deed under s 127 and PPSR registration within the s 588FL window
