When to use it

Use when a franchise agreement entered after 1 November 2025 is being reviewed for an early-termination compensation clause, or when a franchisor is considering leaving the Australian market, rationalising its network, or changing its distribution model.

Used for these tasks

Each task page says how far AI may help with the task and what the lawyer must review.

How AI may be used

AI may check whether the agreement mentions each factor on the ACCC page and list stock and equipment the file describes, and the lawyer decides whether the clause is required and what compensation is payable.

AI may

  • Record the date the agreement was entered, extended or renewed
  • Mark which of the page's compensation factors appear in the clause
  • List stock and specialty equipment described in the agreement or the operations manual

AI must not

  • Must not decide that the franchisor is withdrawing, rationalising or changing its distribution model
  • Must not calculate lost profit, goodwill or winding-up costs
  • Must not draft the compensation clause

The lawyer checks

  • The agreement is one that must contain the clause, having regard to its date and to the code
  • The clause specifies how compensation is determined by reference to the factors on the page
  • The buy-back or compensation covers the stock and essential specialty equipment the page describes, and not items the franchisee can repurpose for a similar business
  • A proposal by the franchisee to terminate, if that is the path being used, has a substantive written response within 28 days
