When to use it
Use in new franchise agreements or operations manual updates where the franchisor uses or plans AI tools across the network. Variations to existing agreements need franchisee consent where they operate retrospectively, and new capex requirements are limited by s 60.
How AI may be used
AI may draft franchisor- and franchisee-favourable variants and check consistency with the disclosure document. A lawyer settles the risk allocation and Code compliance.
AI may
- Draft alternative positions for each sub-clause
- Check the clause against disclosure document items 10, 14 and 15 for consistency
- List AI tools named in the operations manual and their costs
AI must not
- Must not decide whether a tool cost is significant capital expenditure
- Must not decide how marketing fund money may be spent
- Must not process franchisee customer data in an unapproved tool
The lawyer checks
- Mandated AI costs disclosed in the disclosure document and within s 60 and s 61 limits
- Privacy roles clear for franchisor and franchisee, including small businesses
- Marketing review responsibilities workable and consistent with the ACL
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
