How AI is used
Place the deal values the lawyer supplies next to the size-of-transaction and size-of-person rows. Do not complete the HSR form.
What the lawyer must review
15 U.S.C. § 18a requires both persons (or, in a tender offer, the acquiring person) to file and to wait, if the commerce test and the size test are met, unless an exemption applies. The FTC’s current-thresholds page states that the adjusted thresholds take effect on 17 February 2026: the $200 million limb is $535.5 million, the $50 million limb is $133.9 million, and the $10 million and $100 million size-of-person limbs are $26.8 million and $267.8 million. The waiting period in § 18a(b) is 30 days, or 15 days for a cash tender offer, subject to a second request. You decide whether an exemption applies. The tool does not file the form.
