When to use it
Use when an issuer relying on Rule 506 needs a list of what Rule 503 requires of the notice of sales. Do not use it to complete or file Form D.
Used for these tasks
Each task page says how far AI may help with the task and what the lawyer must review.
How AI may be used
Yellow: the lawyer prepares and authorises the notice. This checklist only lists the Rule 503 duties that were read.
AI may
- Calculate the 15-calendar-day date from the first sale, and move it to the next business day if it falls on a Saturday, Sunday or holiday.
- List the Rule 503(a)(3) changes that do not by themselves require an amendment, with the percentage limits the rule states.
- Record that an amendment must give current information for every requirement of the notice.
AI must not
- Do not complete Form D or file it on EDGAR.
- Do not restate Form D item headings. The form, 17 CFR 239.500, was not opened. Item 3 and Item 12 are named only because Rule 503 names them.
- Do not decide that a mistake is not material.
The lawyer checks
- Confirm the date of first sale from the issuer's records.
- Read Form D and its instructions before the notice is signed.
- Decide who is duly authorised to sign.
- Check state notice filings separately. They are not in Rule 503.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
