Check a director-election notice against the statutory timings
Key facts

- How AI is used
- Compare the draft notice with the two timings in § 5115 that are stated below, and flag a missing date. Do not add a date. State law governs, and the lawyer confirms the governing state. For example, California.
- What the lawyer must review
- California Civil Code § 5115(a): the association shall give general notice of the procedure and deadline for submitting a nomination at least 30 days before any deadline for submitting a nomination. That subdivision applies only to elections of directors and to recall elections. Individual notice is delivered under § 4040 if a member requests it. You open § 4040 before you describe that notice. Section 5115(b): for those elections, general notice of all of the following is given at least 30 days before the ballots are distributed. The date and time by which, and the physical address where, ballots are to be returned by mail or handed to the inspector of elections. If the association allows voting by electronic secret ballot under § 5105, the date and time by which those ballots are transmitted to the internet-based voting system, and preliminary instructions on how to vote that way. You open § 5105 before any electronic vote is described. The date, time and location of the meeting at which a quorum will be determined, if the governing documents require a quorum, and at which ballots will be counted. The list of all candidates' names that will appear on the ballot. Individual notice of those items under § 4040 if a member requests it. If the governing documents require a quorum, a statement that the association may call a reconvened meeting at least 20 days after the scheduled election if the quorum is not reached, at which the quorum is 20 percent of the members, voting in person, by proxy or by secret ballot. That statement does not apply if the governing documents set a quorum lower than 20 percent. Section 5115(c) is a separate timing: ballots and two preaddressed envelopes are mailed by first-class mail or delivered not less than 30 days before the deadline for voting, unless the election is by electronic secret ballot under § 5105. You read the rest of § 5115, including the notice of a reconvened meeting in subdivision (d), before you treat the draft as complete. Other member meetings are not this section. You check the notice.
