List legal-risk items in a set of board papers
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- From the board pack the lawyer supplies, list each paper that mentions a dispute, a regulator, a consent, or a disclosure, with the page. Do not add a legal conclusion and do not draft the advice to the board.
- What the lawyer must review
- The list is an index of what the papers say. ABA Model Rule 5.1 requires a lawyer with direct supervisory authority to make reasonable efforts to ensure that another lawyer conforms to the Rules of Professional Conduct, and a lawyer with managerial authority to make reasonable efforts to put measures in place that give reasonable assurance of conformity. ABA Formal Opinion 512 (29 July 2024) applies that supervision to a generative tool. The general counsel decides which items are legal-risk items and what, if anything, is said to the board. The tool does not describe an item as privileged or not privileged.
