Review an NDA, supply, SaaS or services contract against the playbook
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Compare the draft to the playbook positions the lawyer supplies and list each departure, with the clause number. Do not rewrite the contract and do not score business risk.
- What the lawyer must review
- The lawyer decides which departures matter and what, if anything, is sent back. Formal Opinion 512: if the tool summarizes contracts, the lawyer's verification must match the risk, and competence under Rule 1.1 still requires the lawyer's judgment. Confidential draft terms stay out of a public tool (Rule 1.6). Do not treat a playbook position as the law of any state.
