Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- List the meeting date and the date notice was given, and whether that gap sits inside the period § 222(b) states. Do not send the notice.
- What the lawyer must review
- You decide whether notice was timely. Section 222(b) says that unless otherwise provided in this chapter, the notice of any meeting shall be given not less than 10 nor more than 60 days before the date of the meeting to each stockholder entitled to vote at the meeting as of the record date for notice. Section 211(d) says a special meeting of the stockholders may be called by the board of directors or by such person or persons as the certificate of incorporation or the bylaws authorize. Section 141(b) describes that board for a Delaware corporation: one or more members, each a natural person. Do not use a 21-day notice period. The tool does not send the notice.
