What the lawyer must review
You decide whether the notice is complete. Section 222(a) says that whenever stockholders are required or permitted to act at a meeting, notice shall be given in accordance with § 232 and shall state the place, if any, date and hour of the meeting, the means of remote communications, if any, by which stockholders and proxy holders may be deemed present in person and vote, the record date for determining the stockholders entitled to vote if that date is different from the record date for notice, and, in the case of a special meeting, the purpose or purposes for which the meeting is called. Section 211(a) is the authority for holding the meeting at a place, or solely by remote communication if the board so determines. Section 211(b) is the annual meeting for the election of directors. Section 141(b) is the board elected there: one or more members, each a natural person, each holding office until a successor is elected and qualified or until earlier resignation or removal. The tool does not add business to a special-meeting purpose and does not rewrite the notice.
