When to use it
Use as soon as a customer that bought goods on retention of title terms enters voluntary administration, liquidation, small business restructuring or a deed of company arrangement. Send it before the goods are sold or used, after confirming the PPSR registration was in place in time.
How AI may be used
AI may match the PPSR search, the supply terms and the unpaid invoices into the schedule of goods; a lawyer decides whether the interest is perfected and enforceable before the claim is made.
AI may
- Compare the PPSR registration details (grantor identifier, collateral class, start date) with the customer's ACN and the supply terms
- Build the schedule of unpaid goods from invoices, delivery dockets and serial numbers
- Calculate whether the registration date was within 20 business days after the security agreement came into force, for the lawyer to confirm
AI must not
- Must not assert that the interest is perfected, or that it survives the appointment, without the lawyer's confirmation
- Must not tell the client to enter the premises or retake goods during an administration without the administrator's written consent or the leave of the Court
- Must not describe goods that cannot be identified as unpaid goods supplied by the client
The lawyer checks
- The retention of title clause was part of the contract for each delivery claimed (terms accepted before supply, not first printed on an invoice)
- The PPSR registration was effective at the critical time, against the right grantor identifier and collateral class, and is not caught by s 588FL timing
- Which appointment has occurred and what restriction applies: s 440B during administration, vesting under s 267 if unperfected
- The goods claimed are identifiable and unpaid, and any claim to proceeds or processed goods is supported by the terms
