Triage incoming contract requests for the legal team
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Sort each request into the categories the lawyer has set, and record the counterparty, the contract type, and the date received. Do not accept a term and do not mark a clause as agreed.
- What the lawyer must review
- ABA Model Rule 1.1 provides that a lawyer shall provide competent representation, which requires the legal knowledge, skill, thoroughness, and preparation reasonably necessary for the representation. Sorting a request is not a review of the contract. ABA Formal Opinion 512 (29 July 2024) leaves the lawyer responsible for work done with a generative tool, including a decision about what client information is entered. The lawyer decides which requests are accepted into the queue and which terms, if any, are agreed. The tool does not negotiate.
