How AI is used
Compare the name and the amount on the document with the delegations register the lawyer supplies. Flag a name or an amount that does not appear on that register. Do not conclude that the document is authorized.
What the lawyer must review
There is no single federal statute, in the sources opened for this task, that sets who may sign a private company's contract. The register the company has adopted, its bylaws, and the law of its state of organization are the sources of authority. ABA Model Rule 1.1 requires the lawyer to apply those sources. ABA Formal Opinion 512 (29 July 2024) requires the lawyer to check the tool's comparison before it is relied on. A match between a name and a row is a flag that the row exists. It is not an opinion that the person has authority for that document.
