How AI is used
From the contract, the invoice, and the receipt record, set out the invoice date, the date a proper invoice was received, the date the goods or services were accepted or completed, and which payment clause or statute the file says applies. Do not calculate interest and do not approve payment.
What the lawyer must review
The lawyer identifies the buyer before any due date is used. For a federal contract, FAR 32.908(c) says to insert FAR 52.232-25, Prompt Payment, except when FAR 52.212-4 applies or another governmental authority sets the payment terms. Under that clause, payment is due on the later of the 30th day after the designated billing office receives a proper invoice and the 30th day after Government acceptance. If the billing office does not annotate the actual receipt date, the due date is the 30th day after the invoice date, provided a proper invoice was received and there is no disagreement over quantity, quality, or compliance. A due date that falls on a Saturday, Sunday, or legal holiday may be paid on the next working day without a late-payment interest penalty. Interest, where the clause imposes it, is for the lawyer to test against the clause. It is not calculated here. For a Texas governmental entity, Government Code section 2251.021 makes a payment under a contract executed on or after 1 September 1987 overdue on the 31st day after the later of receipt of the goods, completion of the service, or receipt of the invoice. A political subdivision whose governing body meets once a month or less, and a state-agency legal-services invoice of the kind that section describes, is overdue on the 46th day. A disputed invoice must be notified with a detailed statement not later than the 21st day after receipt.
