- What the lawyer must review
- U.C.C. § 2-314 implies a warranty of merchantability in a sale by a merchant of goods of that kind, unless excluded or modified under § 2-316, which was not opened. Merchantable goods must at least pass without objection in the trade under the contract description, be of fair average quality if fungible, be fit for ordinary purposes, run of even kind, quality and quantity within the agreement, be adequately contained, packaged and labelled as the agreement may require, and conform to promises or affirmations of fact on the container or label. Section 2-714 lets a buyer who has accepted the goods and given notice under § 2-607(3), which was not opened, recover the loss from the non-conformity in any reasonable manner. Warranty damages are the difference, at the time and place of acceptance, between the value of the goods accepted and the value they would have had if as warranted, unless special circumstances show a different amount. Incidental and consequential damages sit in the next section, which was not opened. You decide the remedy. Check the state's enactment.
