Agreement · Technology, Media & Telecommunications / IT Contracts
SaaS subscription agreement
Short subscription for hosted software. It gives a right to access during the term, keeps customer data with the customer, and points personal information to the CCPA addendum. Uptime credits are commercial blanks, not a statutory formula.

When to use it
Use for a US business-to-business subscription to a hosted service. Do not use it for a sale of software, an employment contract, or a consumer click-wrap. Add the CCPA addendum if the provider processes personal information for the customer. Check automatic-renewal rules separately; this form does not restate them.
Used for these tasks
- Review a vendor contract against the technology playbook
- Review a SaaS agreement for AI-specific clauses
- Draft an outsourcing or managed-services structure from the term sheet
- Extract uptime, credits and support response times from the SLA schedule
Each task page says how far AI may help with the task and what the lawyer must review.
How AI may be used
AI may fill fees, term and the service description from an approved order. The lawyer checks the cap, the renewal, whether personal information is in scope, and any uptime credit before the agreement is sent.
AI may
- Fill the service name, fees, term and support contacts from the order form
- Compare a vendor draft with this form and list extra limits on customer data
- Flag a draft that assigns the customer's copyright or treats uptime credits as a legal requirement
AI must not
- Must not invent an uptime percentage or a credit rate
- Must not decide that the CCPA applies, or draft the notice to residents
- Must not add a work-made-for-hire label for the customer's materials
The lawyer checks
- The grant is access during the term, not an assignment of the provider's software
- If personal information is processed for the customer, the CCPA addendum is attached and the roles match
- Renewal and the liability cap match the client's instructions, and state automatic-renewal law has been checked outside this form
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
