When to use it
Use from the week before completion of a share sale agreement until completion is recorded, whether completion is physical or virtual. Adapt the deliverables to the completion clause of the signed agreement, which governs.
How AI may be used
AI may build the agenda and deliverables list from the signed agreement's completion clause and track documents received; the lawyer checks every deliverable, authority and payment instruction before completion is declared.
AI may
- Extract each completion deliverable, condition and payment from the signed agreement into the checklist
- Track documents received, signed and held in escrow against the list
- Prepare the funds flow table from the completion statement for the lawyer and the client to verify
AI must not
- Must not confirm bank account details or change any payment instruction; payment details are verified by call-back
- Must not mark a condition as satisfied or waived without written confirmation from the responsible party
- Must not release documents from escrow or declare completion
The lawyer checks
- Every condition precedent is satisfied or waived in writing by the party entitled to waive it
- Share transfer forms, share certificates (or indemnities for lost certificates), resignations and releases are signed by the right people under s 127 or by attorney
- The funds flow reconciles to the completion statement, and each payee's account details have been verified independently
- The board meeting approving the transfers and appointments has a quorum and the register is updated
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
