When to use it
Use immediately after completion of a share sale or business sale, and keep it open until the price adjustments, retention and regulator reporting are finished. Assign each item to a named person.
How AI may be used
AI may build the list from the transaction documents, the change-of-control matrix and the regulator approvals, and track progress; the lawyer checks each deadline and condition and signs off when items are complete.
AI may
- Build the list of novations, consents and notices from the change-of-control matrix and the sale agreement
- Extract conditions and reporting dates from any ACCC determination or FIRB no objection notification
- List registered IP to be assigned or recorded from IP Australia searches
AI must not
- Must not send notices to counterparties, regulators or employees
- Must not treat recordal of an IP assignment as the transfer itself, or assume related entities can skip a written assignment
- Must not mark a regulator condition as complied with
The lawyer checks
- Each ASIC notice is lodged within its statutory time, and the registers match
- Every contract needing consent or novation is listed, and those not yet novated are dealt with under the sale agreement's pending-consent clause
- IP assignments are signed by authorised people and recordals are lodged
- Every FIRB condition and reporting date, and any ACCC condition, is diarised with a responsible person
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
