When to use it
Use when acting for a seller on a share or asset sale with warranties qualified by disclosure. Buyers will negotiate the general disclosures. Do not use where the agreement excludes disclosure against warranties or W&I insurance requires a different form.
How AI may be used
Lawyer-led. The letter limits the seller’s liability and can itself mislead if wrong. AI may assemble candidate disclosures and references for the lawyer to settle.
AI may
- Map due diligence responses and data room documents to warranty numbers as a candidate list
- Check document references, dates and defined terms against the agreement and data room index
- Flag warranties with no candidate disclosure for the lawyer to raise with the seller
AI must not
- Must not decide whether a matter is fairly disclosed
- Must not draft specific disclosures that have not been confirmed by the seller
- Must not soften or omit facts to make the disclosure less alarming
The lawyer checks
- Each specific disclosure is accurate, complete and gives the buyer enough detail to understand the matter
- General disclosures match what the sale agreement permits
- Seller’s management have confirmed the disclosures in writing
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
