When to use it
Use when a registered liquidator accepts appointment as administrator or as liquidator in a creditors' voluntary winding up, and for replacement declarations. Do not use as a substitute for the practitioner's own independence assessment or the professional standards that bind them.
How AI may be used
Lawyer- and practitioner-led. The declaration is the practitioner's personal statement, and errors can lead to removal, offences and loss of remuneration. AI may run searches and fill in company particulars for checking only.
AI may
- Run conflict searches across the firm's client, matter and time records for the company, its directors, associates and secured creditors, and list every hit with its source.
- Fill in company particulars (name, ACN, registered office, directors, secured parties) from the ASIC extract and PPSR search for checking.
- Compare a completed draft against the s 60 categories and the checklist below and list anything missing.
AI must not
- Must not conclude that a relationship does not create a conflict of interest or duty.
- Must not draft the practitioner's reasons for believing a relationship does not create a conflict.
- Must not lodge the declaration, Form 505 or any notice.
The lawyer checks
- Every relationship within the 24-month window has been searched for and disclosed, including referral sources and pre-appointment meetings.
- All indemnities and up-front payments are disclosed with indemnifier and extent.
- No s 448C or s 532 disqualification applies.
- Lodgement and notice deadlines in Part B are diarised and met.
