When to use it

Use to frame negotiations for a corporate PPA in the NEM. Do not use for a retail supply contract with no generator, for WA's Wholesale Electricity Market without adapting it, or as the long-form agreement.

How AI may be used

AI may compare term sheets and model price scenarios on the lawyer's assumptions, but characterising a virtual PPA as a financial product and allocating change-in-law risk need specialist judgment.

AI may

  • Compare the generator's term sheet with this precedent and the buyer's playbook, and list differences.
  • Run settlement scenarios from price assumptions the client supplies, clearly labelled as illustrative.
  • Build a conditions precedent and approvals tracker from the agreed terms.

AI must not

  • Must not advise whether the VPPA is a derivative or whether a licence or exemption is needed.
  • Must not forecast wholesale prices or present scenarios as advice.
  • Must not draft the buyer's renewable electricity or emissions claims for public use.

The lawyer checks

  • The structure (sleeved or virtual) matches the client's accounting, tax and regulatory advice.
  • Certificate transfer mechanics work for LGCs now and REGOs after the RET ends.
  • Negative-price, curtailment and change-in-law provisions match the agreed risk allocation.
