Build a condominium voting-interest and proxy register
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Build a register of voting interests and proxies for the meeting the lawyer names. Leave the interest blank where the declaration is silent. Do not mark a proxy as valid, and do not enter a proxy for a residential board election. State law governs, and the lawyer confirms the governing state. For example, Florida.
- What the lawyer must review
- Florida Statutes § 718.112, opened in the 2026 compilation. In a residential condominium, unit owners may not vote by general proxy. They may vote by limited proxies that substantially conform to a limited proxy form adopted by the division. That form was not opened. A voting interest or consent right on a unit the association owns is not exercised or counted for any purpose, including a quorum or an election. Limited proxies and general proxies may be used to establish a quorum. Limited proxies are used to waive or reduce reserves under subparagraph (f)2, to waive the financial reporting requirements of § 718.111(13), to amend the declaration under § 718.110, to amend the articles or the bylaws under this section, and for any other matter on which this chapter requires or permits a unit-owner vote. Sections 718.111(13) and 718.110 were not opened. Except as paragraph (d) provides, a proxy may not be used to elect the board of a residential condominium. Paragraph (d) elects that board by written ballot or voting machine, and proxies may not be used in a general election or in an election to fill a vacancy caused by recall, resignation, or otherwise, unless this chapter provides otherwise. That election limit does not apply to a timeshare condominium. General proxies may be used for matters that do not require a limited proxy, and for nonsubstantive changes to an item for which a limited proxy was required and given. Unit owners may vote in person. A proxy covers only the meeting for which it was given and any lawfully adjourned meeting of that meeting. It is not valid for longer than 90 days after the date of the first meeting for which it was given, and the unit owner may revoke it at any time. Unless the bylaws set a lower figure, a quorum is a majority of the voting interests. This limited-proxy rule does not apply to a timeshare or a nonresidential condominium. An association of 10 or fewer units may, by a majority of all voting interests, put different voting and election procedures in its bylaws, and those procedures may use a limited or a general proxy. You check the register against the declaration and the agenda before the meeting. State law governs, and the lawyer confirms the governing state. For example, Florida.
