Check a contract with no end date for a review and termination right
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- From the contract, copy any end date, any option or extension, and any clause that allows periodic review and termination. Do not decide that the contract represents value for money.
- What the lawyer must review
- The lawyer decides whether paragraph 4.16 is met. It says that when a contract does not specify an end date, it must allow for periodic review and subsequent termination by the relevant entity if the entity determines that the contract does not continue to represent value for money. A contract that already has an end date is outside this paragraph. Whether the contract still represents value for money is a separate judgement under the value-for-money rules.

Checklist
- Read the term clause. An option or a fixed end date is not the same as a contract with no end date.
- The clause must allow both periodic review and later termination. Do not treat a review alone as enough.
- Do not decide value for money in this check. Paragraph 4.16 leaves that determination to the entity.
