How AI is used
Draft the certificate clauses from the term sheet the lawyer supplies. Leave any commercial term the term sheet does not state as a blank. Do not describe a certificate program and do not say the clause assigns federal record title.
What the lawyer must review
ABA Model Rule 1.1 requires competent representation, which requires the legal knowledge, skill, thoroughness, and preparation reasonably necessary for the representation. ABA Formal Opinion 512 (29 July 2024) leaves the lawyer responsible for clauses produced with a generative tool. The clauses use only the term sheet. Separately, if the same instrument assigns record title or operating rights in a federal oil and gas lease, 43 C.F.R. 3106.10(f) provides that the transferee's rights will not be recognized by the Department until the authorized officer approves the transfer, and section 3106.71 provides that approval is for administrative purposes only and does not warrant or certify title. The tool does not decide that a certificate clause is that transfer. The lawyer checks every clause.
