- How AI is used
- From the stock ledger, the certificate and the business the lawyer lists, prepare a first-pass notice stating the place, if any, the date and hour, the means of remote communication, if any, the record date for voting if it differs from the record date for notice, and, for a special meeting, the purpose or purposes. Do not send the notice.
- What the lawyer must review
- The lawyer checks Delaware General Corporation Law § 222(b): unless the chapter provides otherwise, notice is given not less than 10 nor more than 60 days before the meeting to each stockholder entitled to vote as of the record date for notice. The lawyer checks any different period in the certificate or bylaws, checks every item of business, and approves the notice before it is sent. How notice is given is § 232.
