How AI is used
Extract each change-of-control, assignment and consent clause into a table, with the clause heading and the page, and flag any contract in which the tool cannot find one.
What the lawyer must review
Formal Opinion 512 says a lawyer who has tested a tool on a sample of contracts, by reading those contracts and comparing them with the summaries, need not re-read every page of a later set to verify the same kind of summary. Run that test on this form of contract before relying on the table. Read in the signed document any field the tool flags. Model Rule 1.6: do not put the contracts into a tool that is not configured to keep client information confidential.
