How AI is used
From the bylaws and the corporate records the lawyer supplies, record the date the bylaws designate for the annual meeting, or that no date is designated. If a date is designated, record the date 30 days after it. If no date is designated, record the date 13 months after the latest of organisation, the last annual meeting, or the last written consent electing directors in lieu of an annual meeting. Do not convene the meeting.
What the lawyer must review
The lawyer decides the date by which the meeting should be held. Section 211(b) requires an annual meeting for the election of directors on a date designated by or in the manner provided in the bylaws, unless directors are elected by written consent in lieu of that meeting as that subsection permits. Section 211(c) lets the Court of Chancery order a meeting, on the application of any stockholder or director, if the meeting or the consent election has not occurred for 30 days after the designated date, or, if no date was designated, for 13 months after the latest of those three events.
