Checklist

  1. A public company must hold an annual general meeting within 18 months after its registration.
  2. It must hold an annual general meeting at least once in each calendar year and within 5 months after the end of its financial year. A meeting held for that purpose may also satisfy the 18-month rule. The meeting is in addition to any other meetings held in the year.
  3. A public company that has only one member is not required to hold an annual general meeting under the section. A company covered under section 738ZI at the end of the financial year the section describes need not comply with the subsection that section names. Section 738ZI was not opened.
  4. An offence based on the 18-month duty or the annual duty is an offence of strict liability. The section's note says reports must be laid before the meeting under section 317. That section was not opened.
