How AI is used
From the certificate and the change filing, record the registered office address, including street, number, city, county and postal code, the registered agent at that address, the date the board resolution was adopted, and any later effective time stated in the filed certificate. Do not file the certificate.
What the lawyer must review
The lawyer decides whether § 131 is met: every corporation shall have and maintain a registered office in Delaware, which need not be a place of its business, at the address of its registered agent. A change of office or agent is a board resolution under § 133 and a certificate filed under § 103. An instrument filed under § 103 is effective on its filing date unless it states a later time, which cannot be later than the ninetieth day after filing.
