- Place contradictory or overlapping sentences side by side, with the document and page of each. Do not rewrite either sentence and do not call a statement false.

- 17 C.F.R. § 240.10b-5 makes it unlawful, in connection with the purchase or sale of a security, to make an untrue statement of a material fact or to omit a material fact necessary to make the statements made not misleading, and to employ a device, scheme or artifice to defraud. The Green Guides, 16 C.F.R. Part 260, are the FTC's views and do not bind the public. They say a claim is deceptive if it is likely to mislead consumers acting reasonably and is material, and that an environmental claim often needs a reasonable basis in competent and reliable scientific evidence. SEC press release 2026-49, dated 29 May 2026, says the climate disclosure rules were stayed on 4 April 2024, that the Commission voted on 27 March 2025 to end its defense, that the Eighth Circuit held the case in abeyance on 12 September 2025, and that the Commission is proposing to rescind the rules. Do not treat those rules as in force. You decide whether any pair of sentences matters.
