Reconcile the collateral schedule to the UCC and title searches

How AI is used
Line up each collateral item, the debtor name on the schedule, the name on the search, and the filing office. Do not complete a financing statement.
What the lawyer must review
Personal-property filings follow UCC Article 9 as the state enacted it, not the Australian register. A financing statement is sufficient only if it provides the name of the debtor, provides the name of the secured party or a representative of the secured party, and indicates the collateral covered by the financing statement (U.C.C. § 9-502(a)). Section 9-503(a) states whose name is sufficient, including the name on the public organic record for a registered organisation and, for an individual, the alternative the state enacted. Section 9-503(c) says a financing statement that provides only the debtor’s trade name does not sufficiently provide the name of the debtor. Section 9-503(b) says a financing statement that already provides the subsection (a) name is not rendered ineffective by the absence of a trade name. Real-property title is state law. Read the search certificates against the schedule before you treat a filing as covering an item.
