Matter close-out know-how capture form with confidentiality scrub
A close-out form that captures precedents, clauses, deal points and lessons from a finished matter, with a confidentiality and privilege scrub, information-barrier and restricted-material checks, rules for AI-assisted drafting of know-how, and sign-off before anything enters the knowledge base.

When to use it
Use when a matter closes, or at a major milestone, to turn the matter's work into reusable know-how. Do not use it to move whole client files into the knowledge base; only scrubbed, approved items go in.
How AI may be used
AI may draft know-how notes and suggest redactions from a closed file inside an approved tool. A person scrubs and checks every item, and a second person confirms nothing identifies the client before it is approved.
AI may
- Draft a know-how note, deal-point record or clause variant from the closed matter's documents in a tool approved for that client's data.
- Suggest redactions of names, numbers, dates, addresses and unique facts for the scrubber to confirm.
- Compare a proposed clause with the existing firm precedent and list differences.
AI must not
- Must not move client documents, or AI outputs that contain client information, into the knowledge base or a firm-wide AI index.
- Must not process material subject to suppression orders, the implied undertaking or subpoenas outside the conditions the court allows.
- Must not decide that an item is sufficiently de-identified.
The lawyer checks
- The supervising partner confirmed the engagement terms and any information barrier permit reuse.
- A second person checked that the item cannot identify the client, alone or combined with public information.
- Privileged advice has been reduced to general principles, with no client facts.
Method: how the Green, Yellow and Red levels are decided. This is guidance for planning, not legal advice.
