Screen a benefit given during a tender offer against the equal-treatment rule
Key facts

- YellowClose supervision
- How AI is used
- List each benefit the lawyer marks as offered or paid by the bidder during the tender offer. For each, record the recipient and whether the lawyer says it is consideration for securities tendered. Note Rule 14d-10(d) only where the lawyer marks the arrangement as employment compensation, severance or another employee benefit arrangement. Do not clear the benefit.
- What the lawyer must review
- The lawyer decides whether Rule 14d-10(a) requires the offer to be open to all security holders of the class, and whether the benefit must be matched as the highest consideration paid for securities tendered. The page states that limiting paragraph (d) to employment compensation, severance and other employee benefit arrangements does not raise an inference that a payment under any other arrangement constitutes consideration paid for securities. The lawyer makes that classification.
