- Record the transaction value and the party-size figures that are printed in the file, and place each figure next to the adjusted threshold row it is being compared with. Do not say a filing is required. Write no information-request letter.
- What the lawyer must review
- The FTC program page says the Hart-Scott-Rodino Act requires the parties to certain proposed transactions to submit a Notification and Report Form before closing, and that they may not close until the waiting period in the Act has passed or early termination is granted. The page does not state the waiting-period length as a number. The thresholds page says the 2026 adjusted figures take effect on 17 February 2026. The rows opened are 7A(a)(2)(A) $535.5 million, up from $200 million; 7A(a)(2)(B)(i) $133.9 million, up from $50 million, and $535.5 million, up from $200 million; and the 7A(a)(2)(B)(ii) rows at $26.8 million, up from $10 million, and $267.8 million, up from $100 million. The lawyer applies section 7A. The tool does not.
