Rebuild a stockholder list from the corporate ledger

- YellowClose supervision
- How AI is used
- From the stock ledger and certificates in the room, list each holder, address and number of shares, with the source page. Do not compute a percentage and do not say who may vote.
- What the lawyer must review
- Delaware § 219 requires the corporation to prepare, no later than the tenth day before a meeting of stockholders, a complete alphabetical list of the stockholders entitled to vote, showing the address of each and the number of shares registered in that name. Section 224, in the same subchapter, permits the stock ledger to be kept on an electronic record if the records can be used to prepare the § 219 list and can record transfers. You decide the record date and whether the company is a Delaware corporation. A limited liability company does not use § 219.
