Index due-diligence findings against disclosure-schedule headings
Key facts
- Human involvement
- RedLawyer-led
- How AI is used
- List each warranty heading and the data-room documents that may bear on it, with cites. Write no schedule sentence and no disclosure letter.
- What the lawyer must review
- Disclosure schedules are attached to the signed purchase agreement. You write them, against the warranty as drafted, from documents you have opened. Formal Opinion 512 allows a tool to assist due diligence and forbids leaving professional judgment to the tool. Model Rule 1.6 requires informed consent before client information goes into a self-learning tool. A generated match between a document and a heading is not a disclosure.
