Check whether an off-market acceptance can be withdrawn
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Record whether the lawyer has marked the bid as an off-market bid that is subject to a defeating condition, whether the lawyer has marked a variation that postpones for more than one month the time the bidder must meet its obligations, and the date the copy of the variation notice was received. Count one month beginning on the day after that receipt. Record whether any consideration has been returned. Do not draft the withdrawal notice.
- What the lawyer must review
- The lawyer decides whether section 650E applies, whether the person was entitled to the variation notice, whether any regulations prescribe the notice, and whether the withdrawal and the return of consideration are in time.

Checklist
- The right is for a person who has accepted an off-market bid. It is not the bidder's withdrawal of unaccepted offers.
- All three conditions are required: the bid is subject to a defeating condition; the bidder's variation postpones for more than one month the time the bidder has to meet its obligations; and the person is entitled to a notice of the variation under subsection 650D(1). Section 650D was not opened. The lawyer marks that entitlement.
- Withdrawal requires notice to the bidder within one month beginning on the day after the day the copy of the variation notice was received, and return of any consideration received for accepting.
- The notice must comply with regulations made for paragraph (2)(a), or be in writing if no such regulations are made. The regulations were not opened. Do not assume there are none.
- The bidder must take the regulatory steps, if any, and return documents sent with the acceptance, within 14 days after the day the person does both things, or after the later day if they are done on different days. Regulations for the return of securities were not opened.
