Record the acquisition date in the file, the class of security, and whether the file states beneficial ownership above five percent. Do not compute the percentage and do not draft a schedule.
What the lawyer must review
Rule 13d-1(a) says a person who, after acquiring beneficial ownership of an equity security of a class specified in paragraph (i)(1), is the beneficial owner of more than five percent of the class shall file a statement with the Commission within five business days after the acquisition. Paragraph (i)(1) covers equity securities registered under section 12 of the Exchange Act, certain insurance-company equity securities, and equity securities of a closed-end investment company registered under the Investment Company Act of 1940. It excludes non-voting securities. A business day is any day other than Saturday, Sunday, or a federal holiday, from 12 a.m. to 11:59 p.m. Eastern Time. Paragraphs (b) and (c) permit Schedule 13G instead for persons who meet those paragraphs, on timing stated there. One path in paragraph (b)(2) is within 45 days after the end of the calendar quarter, and the rest of that proviso was not fully read, so the lawyer reads it before using any shorter period. Paragraph (j) allows reliance on the issuer's latest quarterly or annual report and later current reports unless the person knows or has reason to believe the information is inaccurate. This is not an Australian bidder's statement.
