Build a conditions and closing checklist from the deal documents
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- List each condition, deliverable and responsible party from the agreement the lawyer identifies, with the clause number. Write no closing certificate, consent or filing.
- What the lawyer must review
- You confirm each line against the current draft or the signed agreement, and against any filing the condition depends on. A generated checklist is not a closing set. Model Rule 1.1 and Formal Opinion 512 leave you responsible for the judgment of what is still open. If a condition is a Hart-Scott-Rodino waiting period or a CFIUS outcome, use those regimes' own pages, not the checklist, to decide status.

Checklist
- Check the current court or regulator requirements, prescribed form and attachments for the intended document and filing.
- Review operative clauses in the complete document, including definitions, cross-references, schedules and inconsistencies with the instructions.
- Verify the applicable jurisdiction and the version of each relevant law, rule or instrument in force at the material time.
- Confirm the output against the client’s instructions and the complete relevant source material, including omissions or contradictions.
- Resolve exceptions and record the responsible lawyer’s approval of the exact output and intended use.
