Capture deal points from a closed transaction as quotes
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- Quote each deal point the closing set states, name the document and the page, and record the closing date the document states. Write no summary that adds a point, and no comparison with other deals.
- What the lawyer must review
- You decide what is entered in the database and who may see it. Model Rule 1.6(a) covers information relating to the representation, which a closed transaction still is, unless the client gives informed consent, the disclosure is impliedly authorised, or paragraph (b) permits it. Paragraph (b) was not applied. Rule 1.6(c) requires reasonable efforts against inadvertent or unauthorised disclosure or access. ABA Formal Opinion 512 requires consent before that information is put into a tool that will not keep it confidential, and independent verification of what the tool extracts. The database is not a benchmark. No survey of market terms was opened.
