Quote clauses from executed agreements into a library index
Key facts
- Human involvement
- YellowClose supervision
- How AI is used
- For each clause the file identifies, quote the clause, name the agreement, and give the page. Write no new clause and no statement that the clause is usual.
- What the lawyer must review
- You decide which quote is stored in the library and whether it may be reused. Model Rule 1.6(a) provides that a lawyer shall not reveal information relating to the representation of a client unless the client gives informed consent, the disclosure is impliedly authorised in order to carry out the representation, or paragraph (b) permits it. Paragraph (b) was not applied. ABA Formal Opinion 512 requires that consent before client information is put into a tool that will not keep it confidential, and it requires independent verification of extracted text. An executed agreement is information relating to a representation. The index is not a statement of market practice. Model Rule 1.1 requires the knowledge and preparation reasonably necessary before a stored clause is used in a later matter.
