- How AI is used
- From the term sheet, record the acquirer, whether the papers describe the acquirer as a foreign person, the target, whether the target is described as a United States business, and whether the papers describe foreign control. Do not decide that a declaration or a notice is required.
- What the lawyer must review
- A covered control transaction is any transaction proposed or pending after 23 August 1988, by or with any foreign person, that could result in foreign control of any United States business, including a transaction carried out through a joint venture (31 C.F.R. § 800.210). The Treasury page describes the filings as a declaration or a notice. It states no dollar threshold, and the mandatory-declaration list was not opened. A mining tenement that is not a United States business is outside that sentence. Real-estate rules in another part were not opened. You decide whether a filing is required. Opinion 512 requires you to verify the screen.
